"On joining the terms of the Agreement on providing a charitable donation"

1. General principles

  1. 1.1. This contract of the public Offer "On joining the terms of the Charitable Donation Agreement" (hereinafter - the "Offer") is an offer of the charitable organization "Diplomati Charitable Fund" EDRPOU 44908859, registered at the legal address: Ukraine, 79018, city of Lviv, st. Brativ Mikhnovskikh 23, office 7 (hereinafter referred to as the "Fund"), in the person of the head of the Organization - Oleksandr Igorevich Kanevsky, who acts on the basis of the Statute, to conclude a donation agreement on the terms specified below by joining its terms (hereinafter referred to as the "Agreement") with any - by any able-bodied natural and/or legal entity that responded to such an offer (hereinafter referred to as the Donor), under the following conditions.
  2. 1.2. This offer is a public offer in accordance with Art. 633, 641 of the Civil Code of Ukraine.
  3. 1.3. The offer takes effect from the moment it is published on the official website of the Fund https://thediplomats.com.ua/.
  4. 1.4. This Offer is indefinite.
  5. 1.5. The Foundation has the right to cancel the Offer or refuse the Benefactor's charitable donation at any time.
  6. 1.6. Changes and additions may be made to the Offer, which take effect from the day following their posting on the Fund's official website https://thediplomats.com.ua/.
  7. 1.7. Changes related to the use of short numbers take effect from the moment the information is posted on the Fund's official website https://thediplomats.com.ua/.
  8. 1.8. The invalidity of one or more terms of the Offer does not entail the invalidity of all other terms of the Offer.
  9. 1.9. The Fund is ready to enter into Donation Agreements in a different order and on different terms than those provided for in the Offer, for which any interested person has the right to contact the Fund to enter into an appropriate Agreement.
  10. 1.10. Acceptance of donations, in accordance with the terms of this Agreement, does not require any authorization or consent.
  11. 1.11. The place of acceptance of the Offer and conclusion of this Agreement is the address: Ukraine, 79018, city of Lviv, str. Brativ Mikhnovskikh 23, office 7.
  12. 1.12. The basic concepts, terms and definitions of this Offer are used in accordance with the provisions of the Constitution of Ukraine, the Civil Code of Ukraine, the Law of Ukraine "On Charitable Activities and Charitable Organizations", other legislation of Ukraine in the field of charitable activities.

2. Subject of the contract

  1. 2.1. The subject matter of this Agreement is the free and voluntary transfer of funds by the Benefactor into the ownership of the Foundation by making a charitable donation for the implementation of the Foundation's statutory activities.
  2. 2.2. The benefactor independently determines the amount of the charitable donation.
  3. 2.3. The Foundation independently determines the directions for the use of the charitable donation within the framework of its own statutory activities, unless otherwise determined by the Benefactor in the manner prescribed by this Agreement.
  4. 2.4. The subject matter of this Agreement is not directly or indirectly profited by any of the Parties to the Agreement.
  5. 2.5. The Benefactor's transfer of funds under this Agreement is recognized as a charitable donation in accordance with Art. 6 of the Law of Ukraine "On Charitable Activities and Charitable Organizations".
  6. 2.6. If desired, the Benefactor can indicate the intended purpose of the charitable donation by choosing among the programs (projects), goals publicly announced on the website of the Foundation https://thediplomats.com.ua/
  7. 2.7. The donor can obtain accurate information about the nature and amount of the necessary assistance posted on the website of the Foundation https://thediplomats.com.ua/.

3. Acceptance of the terms of the Offer

  1. 3.1. Full and unconditional acceptance of the Offer by taking actions to make a money transfer using the payment forms and means posted on the Fund's website https://thediplomats.com.ua/, as well as by transferring funds to the Fund's current account through any banking institutions, within the meaning of this Agreement, constitutes an Acceptance (hereinafter - Acceptance).
  2. 3.2. The moment of Acceptance is the date of money transfer and/or crediting of funds to the Fund's bank account.
  3. 3.3. Acceptance of the Offer means that the Benefactor agrees with all its provisions and fully understands and agrees with the subject matter of the Agreement, for the purpose of public collection of donations and with the right of the Foundation to use a part of the Benefactor's charitable donation for the administrative expenses of the Foundation, in an amount not exceeding that provided for by the legislation of Ukraine.
  4. 3.4. Benefactor and the Foundation, guided by Art. 639, Art. 641, 642 of the Civil Code of Ukraine, agree that the Agreement is considered concluded from the moment of Acceptance.
  5. 3.5. The parties agree that the parties' failure to comply with the written form of the agreement and the written notarized form of the agreement shall not mean its invalidity.
  6. 3.6. Ways of making a charitable donation:
    • - one-time payment to any bank account of the Fund, which is indicated on the website of the Fund https://thediplomats.com.ua/;
    • - subscription that involves monthly/annual payments in an arbitrary amount through any payment systems used by the Fund.

    This subscription can be canceled at any time through the relevant payment services.

4. Charitable activities of the Foundation

  1. 4.1 The Foundation's charitable purpose is the establishment and operation of the Foundation primarily (but not limited to) the following:
    • - carrying out charitable activities in the interests of society and certain categories of beneficiaries - recipients of charitable assistance;
    • - providing assistance to promote the legitimate interests of persons in difficult life circumstances, as well as other beneficiaries, in the areas of: health care; custody and care, legal representation and legal assistance; social protection, social security, social services and poverty alleviation;
    • - sports and physical culture;
    • - human and civil rights and fundamental freedoms;
    • - development of Ukraine's international cooperation;
    • - promoting the implementation of state, regional, local and international programs aimed at improving the socio-economic situation in Ukraine.
  2. The goals of the Foundation's charitable activities (but not limited to the above) are:
    • - provision of assistance to promote legitimate interests, in particular, of persons who are in difficult life circumstances and need charitable assistance, as well as territorial communities and non-profit organizations in the areas specified in this Agreement;
    • - assistance to orphans, children deprived of parental care, homeless children, orphans (graduates of children's orphanages), children with developmental disabilities, children from low-income families, children of risk groups;
    • - ensuring the needs of law enforcement agencies of Ukraine, the Armed Forces of Ukraine and other military formations formed in accordance with the laws of Ukraine, the State Service for Special Communications and Information Protection, other entities fighting terrorism in accordance with the laws of Ukraine;
    • - promoting the protection of the population in areas of armed conflicts and hostilities, programs for the reconstruction of civil infrastructure facilities damaged by hostilities in Ukraine;
    • - promotion of social protection of servicemen, participants, disabled people, war veterans and their family members;
    • - promoting the protection of the population in areas of armed conflicts and hostilities, programs for the reconstruction of civil infrastructure facilities damaged by hostilities in Ukraine;
    • - facilitating the practical implementation of national, regional, local and international programs related to the creation and operation of the Fund.
  3. Information about work, reports on meetings and results of activities is published on the Foundation's website https://thediplomats.com.ua/.

5. Rights and obligations of the parties

  1. 5.1. The Foundation undertakes to use the received donations strictly in accordance with the current legislation of Ukraine and within the framework of the Foundation's statutory activities.
  2. 5.2. When receiving an unaddressed donation, the Foundation independently specifies its use and directs it to charitable activities in accordance with this Agreement and the Foundation's Statute.
  3. 5.3. In the event that it is impossible to use the Benefactor's donation as intended due to the completion (closure) of fundraising for specific needs at the time of receiving charitable assistance, the impossibility of holding planned events, etc., the Foundation has the right to use the donation for other charitable purposes in accordance with the Organization's Charter.

6. Other terms of the contract

  1. 6.1. The donor gives his/her consent to the Foundation to receive, process and transfer his/her personal data provided to the Foundation in fulfillment of the terms of this Agreement, in accordance with the Law of Ukraine "On the Protection of Personal Data" dated 01.06.2010 No. 2297-VI.
  2. 6.2. The Foundation processes the personal data of the Benefactor provided when visiting the website https://thediplomats.com.ua/ and/or making a money transfer for the purpose of proper implementation of this Agreement (including public reporting on the official website and any other way) and its statutory activities. Detailed information on the procedure for processing personal data by the Foundation is available in the Privacy Policy
  3. 6.3. The provisions of the current legislation of Ukraine apply to the relationship between the Benefactor and the Foundation.
